This 1' Amendment to the Agreement between the City of Cupertino and Play-Well
TEKnolo gigs, fur reference dated M 3`, is by and between the CITY OF CUPERTINO,
a municipal corporation (hereinafter "
(hereinafter
"referred to as Consultant"), and is made with reference to the following:
RECITALS:
A. On May 11, 2012 an agreement was entered into by and between City and P1av-
Well TEKnolo ies (hereinafter "Agreement").
B. City and Con sultant desire to modify the Agreement on the terms and conditions
set forth herein.
NOW, THEREFORE, it is mutually agreed by and between and undersigned parties as
follows:
I. Paragraph 1 of the Agreement is modifies to read as tul lows:
"The term of this Agreement shall commence on July 1. 2012, and shall tenninate
on December 31. 2013, unless terminated earlier as set forth herein."
2. Paragraph 3 of the Agreement is modified to read as follows:
"Consultant shall be compensated for services performed pursuant to this
Agreement in the amount set forth below.
Compensation: S120 per participant per 5 d:iy camp, excluding Robotics camp.
S96 per participant per 4 day camp. S150 per participant per 5 day Robotics camp.
Compensation shall not exceed thirty-two thousand dollars (S32,000) for the
period of July 1-Dec.31, 2013 for a total not to exceed fifty-eight thousand dollars
(S58,000).
Payment by the City to the Consultant air services: Consultant will be paid one
week following the completion of each Camp."
3. Except as expressly modified herein, all other terms and covenants set forth in the
Agreement shall remain the same and shall be in full tierce and effect.
IN WITNESS WHEREOF, the parties hereto have caused this modification of
Agreement to be executed.
