FIRST AMENDMENT AGREEMENT BETWEEN THE CITY OF CUPERTINO
AND KIMLEY-HORN AND ASSOCIATES, INC., FOR CONSULTANT SERVICES
FOR PLANS, SPECIFICATIONS AND ESTIMATES FOR FIBER OPTIC
CONNECTION TO THE QUINLAN COMMUNITY CENTER
This First Amendment to the Agreement between the City of Cupertino and
Kimley-Horn and Associates, Inc., for reference dated October 15th, 2014, is by and
between the CITY OF CUPERTINO, a municipal corporation (hereinafter "CITY') and
Kimley-Horn and Associates, Inc., a California corporation whose address is 1300 Clay
Street, Suite 325, Oakland, CA 94612, (hereinafter "CONSULTANT"), and is made with
reference to the following:
RECITALS:
A. On December 3rd, 2013, an agreement was entered into by and between City and
Kimley-Horn and Associates, Inc. for Consultant Services for Plans, Specification and
Estimaes for Fiber Optic Connection to the Quinlan Center (hereinafter "Agreement").
B. City and Kimley-Horn and Associates, Inc., desire to modify the Agreement on the
terms and conditions set forth herein.
NOW, THEREFORE, it is mutually agreed by and between and undersigned
parties as follows:
1. Paragraph 1 of the Agreement, "TERM" is modified to read as follows:
The services and/or materials furnished under this Agreement shall be
completed before June 30, 2015, or as extended by agreement.
2. Pargraph 4 of the Agreement, "COMPENSATION TO CONSULTANT" is
modified to read as follows:
For the full performance of this Agreement, CITY shall pay CONSULTANT: An
amount not to exceed $7,945.00. The rate of payment is set out in Exhibit A. Consultant
shall furnish monthly invoices for interim progress payments during the course of each
phase, clearly statingas the minimum total Contract amount, amount paid to date,
percent complete and amount due.
3. Except as expressly modified herein, all other terms and covenants set forth

in the Agreement shall remain the same and shall be in full force and effect.
IN WITNESS WHEREOF, the parties hereto have caused this modification of
Agreement to be executed.
