'1-011--1 T FY16-17 AGREEMENT BETWEEN THE CITY OF CUPERTINO AND SILICON SHORES FOR WATER SPORTS CAMPS THIS AGREEMENT, for reference dated WEDNESDAY, JUNE 8, 2016, is by and between CITY OF CUPERTINO, a municipal corporation (hereinafter referred to as "City"), and SILICON SHORES, a CALIFORNIA CORPORATION, whose address is (herei11after referred to as "Consultant"), and is made with reference to the following: RECITALS: A. City is a municipal corporation duly organized and validly existing under the laws of the State of California with the power to carry on its business as it is now bei11g conducted w1der the Constitution and the statutes of the State of California and the Cupertino Mw1icipal Code. B. Consultant is specially trained, experienced and competent to perform the special services which will be required by this Agreement; and C. Consultant possesses the skill, experience, ability, backgrow1d, certification and knowledge to provide the services described in this Agreement on the terms and conditions described herein. D. City and Consultant desire to enter into an agreement for WATER SPORTS CAMPS upon the terms and conditions herein. NOW, THEREFORE, it is mutually agreed by and between the undersigned parties as follows: 1. TERM: The term of this Agreement shall commence on FRIDAY, JULY 1, 2016, and shall terminate on FRIDAY, JUNE 30, 2017, wuess terminated earlier as set forth herein. 2. SERVICES TO BE PERFORMED: Consultant shall perform each and every service set forth in Exhibit "A" which is attached hereto and incorporated herein by this reference. 3 . COMPENSATION TO CONSULTANT: Consultant shall be compensated for services performed pursuant to this Agreement in the amow1t set forth below and as described in Exhibit "A" which is attached hereto and incorporated herein by this reference. FY 2016/2017 1 Camp Shoreline: Windsurfing & Sailing 1: Windsurfing & Sailing 2: Paddle Sports Day Camp $325 per participant* $340 per participant* $350 per participant* $325 per participant* *Compensation is based on five camp meetings and will be prorated for programs that meet less than five times. The City will issue no more than two payments per quarter and, if needed, one final payment at the end of this agreement to close the accow1t. In the event that less than the required minimum number of participants shall request and pay for services prior to the agreed upon time for the commencement of services to be performed b y Contractor, City may cancel and withdraw from this Agreement. The total compensation to the Consultant shall not exceed THIRTY THOUSAND DOLLARS ($30,000). 4. ACKNOWLEDGEMENT OF MANDATED REPORTING REQUIREMENTS: Consultant shall comply with the requirements of California Penal Code 11164-11174.3 and as set forth in Exhibit "B" which is attached hereto and incorporated herein by this reference. 5. FINGERPRINT & TUBERCULOSIS (TB) CONSULTANT DECLARATION: Consultant agrees that all individuals covered w1der this Agreement shall provide fingerprints for criminal backgrow1d test purposes and results of TB screening, pursuant to the requirements as set forth in Exhibit "C" which is attached hereto and incorporated herein b y this reference. 6. TIME IS OF THE ESSENCE: Consultant and City agree that time is of the essence regarding the performance of this Agreement. 7. STANDARD OF CARE: Consultant agrees to perform all services herew1der in a manner commensurate with the prevailing standards of specially trained professionals in the San Francisco Ba y Area and agrees that all services shall be performed b y qualified and experienced personnel who are not employed by the City nor have any contractual relationship with City . 8. INDEPENDENT PARTIES: City and Consultant intend that the relationship between them created b y this Agreement is that of an independent contractor. The maimer ai1d meai1s of conducting the work are under the control of Consultai1t except to the extent they are limited b y statute, rule or FY 2016/2017 2 regulation and the ex press te rms of this Agreem e nt. No civ il ser v i ce s t a tus or o th er r ig ht of employ m ent will be acq uire d b y v irtue of Con s ulta nt's services. Non e of the benefits prov ided by City t o its e mployees, including but not limite d to, une mploy m ent in surance, workers' co mpen sation p l ans, vaca tion an d s ick leave a r e avai la ble from City to Cons ultant, its employees or agents. Deduction s shall n o t b e m a d e fo r any s t a t e or fe deral ta xes, FICA pay m ents, PERS pa y m ent s, or other purposes n ormally associated w ith an employer-empl oyee re lationship fr om any fees due Consultant. Payments of the above items, if required, are the responsibility of Con s ultant. 9. IMMIGRATION REFORM AND CONTROL ACT (IRC A ): Co n sultant ass umes a n y and all respon sibility for verify ing the identity and employment authorizati on of all of his/he r e mployees p e rforming work h e re unde r, purs uant to a ll applicable IRCA or o ther federa l, or s t a te rul es a nd regulations. Con s ultant shall inde mnify a nd h o ld City h a rmless from and against an y loss, d am age, liability, costs or ex p enses arising fro m any noncompliance of this provision b y Co n s ultant. 10 . HOLD HARMLESS: Con s ultant shall, to the full es t ex t ent allowed by law, w ith r es p ect t o all services p erform e d in co nne ction w ith the Agree m e nt, indemnify, d e fend, and hold h a rmless the C ity a nd its officers, officials, agents, e mployees a nd voluntee r s from an d agains t any and a ll li a bility, claims, actions, ca u ses of action o r demands w hatsoever against any of the m , including any injury to or d eath of any p e r son or d a m age t o prope rty or other li a bili ty of any nature, w h eth er phys ical, e motional, consequ e nti a l o r o therwise, arising out, p ertaining to , or re lated to th e p e rformance of thi s Agreement b y Cons ultant or Con sultant's e mployees, officers, officials, agents or inde p ende nt co ntractors . Such cos t s and ex p en ses shall include reasonable attorneys' fees of co unse l of City's choice, expert fe es and a ll o ther cos ts and fees of liti gation. C. FAILURE TO SECURE: If Consultant at any time during the term h ereof should fail to secure or maintain the foregoing insurance, City shall b e permitte d to ob tain s u ch ins urance in the Consultant's name or as an a gent of the Consultant and shall b e co mpen sate d b y the Consultant for the costs of the insurance pre miums at th e m ax imum rate permitted b y la w and co mpute d from the date written notice is r ece ive d tha t the pre miums have n o t been paid. D . ADDITIONAL INSURED: City, its City Council, boards and co mmissions, officers, e mployees and vo lunteers sh a ll b e name d a s an additional insured under all insurance cove rages, excep t any professional li ab ility insurance, required b y this Agreem e nt. Th e naming of an additional ins ured shall n o t affect a n y r ecovery to w hich su ch a dditional ins ure d would b e entitled unde r this policy if not named as s u ch a dditional ins ure d. A n a dditional insured name d h erein s hall not be h e ld liable for a n y pre mium, d e du ctible portion of any loss, or ex p e n se of any nature on this p o li cy or any ex te n s i on thereof . A n y other in surance h e ld by an a dditional in s ure d sh a ll not be required to contribute anything t oward any loss or ex p e n se cove r e d b y th e insurance prov ide d by this p o li cy . E. SUFFICIENCY OF INSURANCE : The ins urance limits r e quire d by City are n ot re presente d as being suffi cient to protec t Cons ultan t. Con s ultant is advised to co nfer w ith Con sultant's insurance broker to determine a d e quate cove rage for Co n s ultant. 13. CONFLICT OF INTEREST: Con s ultant warrants that it is not a conflict of interes t for Consultant to p erform the se r v ices re quire d b y this Agr ee m ent. Consultant may b e r e quire d t o filI out a confli ct of interest form if the services provi d e d unde r this Agreem ent require Consultant to make ce rtain governmental d ecision s or se r ve in a staff capacity as d e fin e d in Title 2, Di v is ion 6, Section 18700 of the California Cod e of Regulations. 14. PROHIBITION AGAINST TRANSFERS: Consultant shall not assign, s ublease, h ypothecat e, or t ransfer this Agr ee m ent, or any interest therein, direc tly or indirec tly, b y operation of law or otherwise, w ithout prior writte n co n sent of City. A n y a tte n-1pt to do so w ithout said con sent shall b e null and void , and any assig n ee, sublessee, h y p o thecat e or transfe ree shall acquire n o right o r interest b y reason of s u ch a tte mpte d assignment, h ypothecati on or transfer. However, claims for m oney b y Con s ultant from City unde r this Agreem ent m ay b e assigned t o a bank, trus t com pany o r other financial in stitution wi thou t prior w ritten con sent. Written notice of s u ch assi gnment sh a ll be p romptly furnished t o City b y Consultant. FY 2016/2017 5 The sale, assignment, tr ansfer or o ther disposition of any of the issu ed and out s t anding ca pital s t ock of Con sultan t, or of the interest of any general p a rtne r or joint ven h irer o r syndicat e m e mbe r o r co t en ant, if Cons ultant is a p a rtne r ship or joint venture or syndicate or co t e n a n cy, w h ich sh a ll res ult in ch an ging the control of Con sultant, shall b e con s true d a s a n assi gnme nt of this Agr eement. TERMINATION: In the event Consultant fails or refuses to p erform any of the provisions h ereof at the time and in the manner required h ereunder, Consultant sh a ll b e deemed in d efault in the p erformance of this Agreement. If such default is not c ured within the time s p ec ifi e d after receipt b y Consultant from C ity of written n otice of default, s p ecifyin g th e nature of such d efault and the s te ps n ecessary to cure s u ch d efa ult, City may t ermina t e the Agreem ent for thw ith b y g iv ing to the Consultant wr itte n notice thereof . City s h all have the o ption, at its sole di scre tion and without cau se, of te rminating this Agreement b y g iv ing thirty (30) days' prior w ritte n n oti ce to Consultant as provi d e d here in . U p on terminatio n o f thi s Agreement, each p arty sh a ll pay to the o ther party that portion of compen sation specified in this Agreem e nt that is earne d and unp ai d prior to the effecti ve d a t e of t ermination. City ha s no obligation to offer any of Consultant's service s to participants, and, unl ess minimum e nro llment for a particular class identified in th e Scope of Service s is met, City m ay can ce l that class w ithout further noti ce to Consultant or pay m e nt under this Agreement. The City in its sole disc r e tion m ay d e termine the t y pe of cla sses, th e number of classes and th e assigned ins huctor. 21. COMPLIANCES: Consultant shall co mply with all s ta te or federal la ws and all ordinances, rules and regulations en ac t e d or iss u ed by City. 22 . CONFLICT OF LAW: This Agreement s hall b e interpre t e d under, and enforced by the laws of the State of California excep ting any ch o ice of la w rules w hich m ay direct the a pplication of l aws of another jurisdiction. Th e Agree m e nt and o bligations o f the parties are s ubj ec t to all valid laws, orders, rules, and r egulation s of the authorities having juris di ction over thi s Agreem e nt (or the s u ccessors of those a uthori ti es.) Any s uits broug ht pursuant to this Agreement shall be fi led w ith the co urts of the Coun ty of Santa Clara, St ate of Californi a. 23. ADVERTISEMENT: Consultant sh a ll not p ost, exhibit, display or a ll ow to b e posted, ex hibited, displayed any signs, advertisin g, sh ow bills, lithograph s, posters or cards of any kind p er tainin g t o the services p erformed under this Agreemen t unless prior writte n approval h as b een secured from C ity to do o therw ise. The Consultant shall follow a ll guidelines p ertaining to regis tration proce dures as li s te d in the quarterly recre ation sch e dule. Participants may not take p a rt in the prog ram unless they are li ste d on the cla ss roster or can s how proof of e nrollment. All participants and vo luntee r s n ee d to co mplete the City's Waive r of Liability form prior to taking part in the prog ram. Contractors are responsible for supe rvis ing minors afte r cla ss until a parent of legal guardian has arrived. In th e event of an injury occurring to a participant, the Consultant will notify the City within 1 h o ur and complete an In cide nt Report in th e form approved b y the City. FY 20 16/2 01 7 11 EXHIBIT B ACKNOWLEDGEMENT OF MANDA TED REPORTING REQUIREMENTS, RECEIPT OF TRAINING, AND RECEIPT OF PENAL CODES STATUTES A mandated reporter is an indivi dual who is obligated b y law to report suspected cases of child abuse and neglect.
