WHEREAS, STATE and z~ITY contemplate lnstr;llation of traffic
control signal systems, Befety lightlng and traffic islands flt :·
intersections of McClell1m Ror;d and Rodrigues Avenue w.!.th Stat~·
Highway Route 35 (Saratoga-Sunnyvale Road), roadway widening ~c. . \
20 of McClellan Road, and stripe removal, signing and striping fro~
21 south of Stevens Creek Boulevard to north of Kirwin Lane on St~:
22 Highway Route 35, all of which is situated within the City of
23 Cupertino; and
24 WHEREAS, STATE and CITY desire to cooperate and jointly
25 participate in providing the improvements hereinbefore mentione1
26 and desire to $pecify herein the terms and condition~ under whi~·

27 said improvements shall be designed, constructed, financed and

NOW, THEREFORE, in consldera tion of the. cover,iantE .ind
conditions herein contained, the parties hereto agree as follows:
SECTION I
STATE AGREES:
1.) To furnish and install the improvements hereinbefore
mentioned, through construction by contract with construction
contractor licensed by the State of California, said contract to
be carried out in accordance with provisions of the State Contract
Act, Chapter 3, Part 5, Division 3, Title 2 of the Government Code
and work complete1 in conformity with plans and specificntionf of
STAT~, subject to review ana approval of CITY.
2. ) To furnish the traffic stripes, pavement markings an1
raised pavement markers, and to furnish, instBll and remove the
traffic signs by STATE Fo~ces.
3.) To bear the entire expense of the preliminar~ and
construction en;sineering costs (including 311 direct and inri·i rr,,.
17 costs (functional and administrative overhead assefsment)
18 attributable to such work, applied in accordance with STATE'r
19 standard accounting procedurer) and construction costs reouire~
20 to complete the improvements referred to herein, except fer coF:-

all other improvements constructed pursuant to this Agreement
which lie within STATE's right of way.
6.) To maintain all signs, traffic stripes, pavement
markings and raised pavement markers which lie within STATE's
right of way, at no expense to CITY •

lump sum bid price in STATE'S construction
contract, plus any extra or eupplemental work 1
directly related to said installation. CITY'$
share is estimated to be $46,500.
(2) The total cost for concrete median traffic
island cnnatruction at the Rodrigues Avenue
intersection. The nctual cost to CITY shnll
be determined on the basis of Actual
quantities required to comnlet~ the Above
improvements multiplied by the· ecpli6Able
unit bid prl.ces in STATE's construction
contract, plus any extrA or additional work
directly related to s11id work. CITY' s shars,
of said costs is estimated to oe $200.
(3) CITY' s liability for constr1iction
engineering costs (estimated to be $6,600)
shall be an amount representing 14% of the
final costs to CITY for Items (1) ond (:0)
above.
B.) McClellan Road:

4.) That, should any portion of the project be financed
with Federal Funds or St~te Oas Tax Funds, all applicable
procedures and policies relating to the use of such funds shall
apply, notwithstandlng other provisions of this Agreement.
5.) That, should TOPICS funds be applied to funding of this
project, TOPICS monies will be applied initially to the
Rodrigu~s Avenue intersection electrical and median island costs
up to the maximum Federal share payable. Any remaining TOPICS
monies or additional TOPICS monies allocated to the project, up
to the maximum Federal share payable, will then be applied to
the total McClellan Road intersection electrical coets and
widening (on Route 85 south of the intersection) "oet~" Tl1e
remaining electrical costs at McClellan Road will be sha1·ed by
CITY and STATE as provided in Se~tion II, Article (1),
Subarticle (B). Any remaining TOPICS monies will then be applied
to signing, striping and channelization costs on Route 95 wl.thi~
the project limits.
6.) That, should CITY fail to pay monies due STATE within
30 dayF of demand or within such other period as may be agreed
between the parties hereto, STATE. acting through State
Controller, may withhold an equal amount from future
apportionment due CITY from the Highway Users T11x Fund.
7.) That, in the construction of said work, STATE will
furnish B reprei:entative to perform the usual functions of a
Resident Engineer, and CITY may, at no cost to STATE, furnish
a Resident Engineer if it so desires, and that 10aid
represePtative and Resident Engineer will cooperate and consult
with each other but the orders of STATE's engineer shall be finn:.

A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CUPERTINO AUTHORIZING
THE EXECUTION OF AN AGREEMENT BETWEEN THE CITY AND THE STATE OF CALIFORNIA,
DIVISION OF HIGHWAYS, FOR TRAFFIC SIGNALS AT INTERSECTIONS OF McCLELLAN
ROAD AND RODRIGUES AVENUE WITH STATE ROUTE 85 (SARATOGA-SUNNYVALE ROAD)
WHEREAS, there has been presented to the City Council of the City of
Cupertino an agreement by and between the State of California, Division of
Highways, and the City of Cupertino providing for traffic control signal sys-
tems and safety lighting at the intersections of McClellan Road and Rodrigues
Avenue with State Highway Rou~e 85 (Saratoga-Sunnyvale Road); and said Agree-
ment having been approvedc by. the Director of Public Works and the City Attorney; ' .
NOW, THEREFORE, BE Il' RESOLVED, that the Mayor and the City Clerk are
hereby authorized to execute the agreement herein referred to in behalf of
the City of Cupertino.
PASSED AND ADOPTED at a regular meeting of the City Council of the City
of Cupertino this 20th _day of March , 1972, by the following vote:
