EXHIBITS: The following attached exhibits hereby are made part of this Agreement: Exhibit "A"
TERMS The services and/or materials furnished under this Agreement shall commence on January 20, 1982

COMPENSATION For the full performance of this Agreement, CITY shall pay CONTRACTOR: Once each month
after receipt of invoice at the rate listed on the attached Exhibit "A" for the G~~~~)lt flifM~ A~D tn1NdfrTBNSendered •
Hold Harmless. Contractor agrees to save and hold harmless the City, its officers, agents and employees from any and
all damage and liability of every nature, including all costs of defending any claim, caused by or arising out of the per-
formance of this agreement. City shall not be liable for acts of Contractor in performing services described herein.
Insurance. Should the City require evidence of insurability Contractor shall file with City a Certificate of Insurance
before commencing any services under this agreement. Said Certificate shall be subject to the approval of City's
Director of Administrative Services.
Non-Discrimination. No discrimination shall be made in the employment of persons under this agreement because of
the race, color, national origin, ancestry, religion or sex of such person.
Interest of Contractor. It is understood and agreed that this agreement is not a contract of employment in th~ sense
that the relation of master and servant exists between City and undersigned. At all times Contractor shall be deemed to
be an independent contractor and Contractor is not authorized to bind the City to any contracts or other obi igations in
executing this agreement. Contractor certifies that no one who has or will have any financial interest under this
agreement is an officer or employee of City. .
Changes. This agreement shal I not be assigned or transferred without the written consent of the City. No changes or
variations of any kind are authorized without the written consent of the City.

Service will include labor to install lamps, photo cells,
lens and internal parts as needed. Cost will be $12.00
per service stop • I 2. LUMINAIRE REPLACEMENT: ,.
Service will include labor to remove and replace luminaires
as needed. All luminaires will be brought back to corp. yard
for salvage. Labor will be $19.50 for each replacement.

REWIRING OF POLE:
Price will be for replacing wires from bgse of electrolier
to the luminaire. This will include fuse replacement if
needed. Labor will be $17.50 per electrolier.
REMOVAL OF DAMAGED ELECTROLIER:
Service will include downed pole or re~oval of damaged ~IM~
pole. Wires will be capped and base coned for safety.
Pole will be taken to corp. yard for sal~age. Labor will
be $85.00 per pmle at time of replace~ent. Emergency
service will be $100.00 per pole.

Replacement of electrolier providing base lsin satisfactory
condition. Also included is mast, wires to base, fuse holder
and luminaire. Labor at $115.00 per pole. Emergency service
at $135.00 per pole. ,
All work will be done with City of Cupertino s airial truck!
Service work will be done in the evening or on weekends if needed.
If an additional person is needed for take down or replacement
of electrolier city will provide him.
All prices mentioned above include LABOR ONLY!
City will provide all insurance while working for City of Cupertino.
