83-009 Cooper and Clark, Soils Agreement for Engineering· ..• . . ) AGREEMENT This agreement made between the CITY of CUpertino (CITY) and Cooper and Clark (ENGINEER) this 15th day of March , 1983. TO WIT: WHER.EAS, the CITY requires professional engineering services for the testing, review and investigation of the soils aspects of various projects wi thin the CITY of cupertino. said work shall be herein after referred to as SERVICES. WHER.EAS, the CITY desires to contract for SERVICES with an experienced soils engineering finn, which has a staff and equiJ;lle1t which canplies with the requirerents of the CITY. WHER.EAS, the CITY has prepared a "Request for Proposals", attached and incorporated herein as Exhibit "A". WHER.EAS, the ENGINEER has the necessary professional staff and equiJ;lle1t to perfonn the duties required by the CITY and/or as specified in Exhibit "A". WHER.EAS, the ENGINEER has fully reviewed Exhibit "A" and can abide by its provisions in addition to the provisions outlined herein. Therefore, be it agreed between the parties hereto: ,- Payments. The CITY shall compensate the ENGINEER as outlined in Exhibit "B" attached and Page 1 , ' incorporated herein by this reference. No adjustments to the schedule of charges shall be made within the pericd of this agreement. Any request for reports or tests shall only be valid if the request is from a CITY official mutually agreed to at pericdic intervals. Hold Harmless The ENGINEER agrees to save and hold harmless the CITY, its officers, agents and employees fran any and all damage and liability of every nature, including all costs of defending any claim against the CITY by or arising out of the performance of this agreerrent. The CITY shall not have any liability for acts or emissions of the ENGINEER. COOrdination The CITY shall receive all reports, opinions and interpretation of all projects subject to this agrearent. Any third person who is directly or indirectly associated with the information in a report shall be required to obtain the information from the CITY. No copies of reporta shall be given to the public without permission' of the CITY. SOILS ENGINEERING AND TESTING REQUEST FOR PROPOSALS EXHIBIT A The City of Cupertino desires to retain the services of a ?oils engineering and testing firm to perform various testing and engineering functions within the City rights-of-way. Also, the City will require field inspection and field identification of "On-Site" soil classifications, expansion potentials and related soils parameters for single family residential construction. Standard 29-2 The selected firm will also be required to field review proposed minor earth- work projects within the City and provide recommendations on slope stability and identification of material classification(s). The selected firm will be required to provide a "Letter of Review" On minor residential properties at various locations in the City. - 1 , ') , , " , , '" , , CONTRACT TIME LIMITATIONS: The City requires that the selected firm respond to a City request for field services on a "Next-Day-Basis" and that the firm provide results of laboratory analysis on a priority basis within a twenty-four (24) (except for tests which require a longer period of time to complete) hour maximum. In regard to other testing or professional work, the City will require that the selected firm respond within three (3) working days from the date the work or the "Letter of Review" is requested. LETTER OF REVIEI~: The City requires that the selected firm provide the City with a letter, signed by a principal of the firm, indicating that the firm has reviewed appropriate soils reports of record and that the firm has field reviet>ed the site in question and that field testing, if required, indicates that the project in question can be constructed on the site and that the provisions of Section 16.12, "Preliminary Soil Report" ,or the Cupertinp, Hunicipal Code are being complied with. SPECIAL PROJECTS: The City will require the selected firm to provide professional review of cut, fill slopes, slope failures and other related soils engineering problems with~ in the City. The firm shall provide mini-reports stating the existing situation, identification of the materials involved and providing a primary and secondary approach to remedy the problem. All reports shall be signed by a principal of the selected firm. - 2 - .. "j'" . .. ~ " METHOD OF COMPARISON OF PROPOSALS: A. Testing and Laboratory Reports. All firms submitting proposals shall meet the mlnimurns es tablished by the required testing procedures. The City will evaluate the proposals based on the firm's ability to demonstrate adequate personnel, equipment and timely performance. In addition, the firm submitting the lowest overall cost on the basis of the estimated quantities will receive additional consideration under this Section. B. Professional Reports. The firm who demonstrates the most extensive ex- perience and has a staff who meets the required level of professional competence, as determined by the City Engineer, will receive favorable consideration under this Section. A statement that all required tests can be accomplished in accordance with the stated minimum testing and time standards. The location of the laboratory shall also be provided. 2. A brief summary of the professional and technical staff and a general overview of their experience. 3. The unit cost to the City for the various items outlined hereinabove.
