TERMS The services and/or materials furnished under this Agreement shall commence on Dec. 3. 1984
and shall be completed before November 30. 1985
COMPENSATION For the full performance of this Agreement,CITY shall pay CONTRACTOR:
$20.00 each device (Twenty Dollars)
GENERAL-TERMS AND CONDITIONS
Hold Harmless. Contractor agrees to save and hold harmless the City, its officers,agents and employees from any and
all damage and liability of every nature, including all costs of defending any claim,caused by or arising out of the per-
formance of this agreement.City shall not be liable for acts of Contractor in performing services described herein.
Insurance. Should the City require evidence of insurability Contractor shall file with City a Certificate of Insurance
before commencing any services under this agreement.Said Certificate shall be subject to the approval of City's
Director of Administrative Services.
Non-Discrimination. No discrimination shall be made in the employment of persons under this agreement because of
the race, color, national origin,ancestry, religion or sexof such person.
Interest of Contractor. It is understood and agreed that this agreement is not a contract of employment in the sense
that the relation of master and servant exists between City and undersigned.At all times Contractor shall be deemed to
be an independent contractor and Contractor is not authorized to bind the City to any contracts or other obligations in
executing this agreement.Contractor certifies that no one who has or will have any financial interest under this
agreement is an officer or employee of City.
Changes. This agreement shall not be assigned or transferred without the written consent of the City.No changes or
variations of any kind are authorized without the written consent of the City.

1. The Contractor shall be licensed by the State of California.
2. The Contractor shall have a certificate of completion from a recognized I/
cross-connection course or from a major manufacturer of approved devices. ✓
3. The Contractor shall maintain $500,000.00 of public liability andpropert
damage. This shall be primary insurance with the City of Cupertinonamedy
as an additional insured. Ten (10) day notice of cancellation is required.
4. The Contractor shall have a set of test apparatus

certified and calibrated and the Contractor shall maintainsthe erequired
ly
equipment in good and accurate order throughout the life of this agreement.
5. The Contractor shall complete inspections and testing within ten .<10) working
days of receipt of a notice from the City listing the quarterly inspections
that are required.
6. The City requires a written inspection and test report within twenty-four
(24) hours if test of the said device fails the tests. All other reports
are due within thirty (30) days of the testing.
• 7. The City will pay the Contractor for all work at the completion of the
quarterly inspections.

8. The City estimates that 100 devices, 3/4" in diameter to 8" in diameter, will
require inspection on an annual basis.
9. The City reserves the right to terminate the service ,tontract upon thirty
(30) day notice from the Director of Public Works.
