CONTRACTOR Shall provide or furnish the following specified services and/or materials:
ENGINEERING SERVICES FOR STORM DRAIN ANALYSIS AND DESIGN
CUPERTINO ROAD, SALEM DRIVE, ALPINE DRIVE, ET AL.

TERMS The services and/or materials furnished under this Agreement shall commence on August 22, 1983
and shall be completed before as outlined in Rxhihit "A".
COMPENSATION For the full performance of this Agreement,CITY shall pay CONTRACTOR:
As specified in Exhibit "A"
GENERAL TERMS AND CONDITIONS
Hold Harmless. Contractor agrees to save and hold harmless the City, its officers,agents and employees from any and
all damage and liability of every nature, including all costs of defending any claim, caused by or arising out of the per-
formance of this agreement.City shall not be liable for acts of Contractor in performing services described herein.
Insurance. Should the City require evidence of insurability Contractor shall file with City a Certificate of Insurance
before commencing any services under this agreement. Said Certificate shall be subject to the approval of City's
Director of Administrative Services.
Non-Discrimination. No discrimination shall be made in the employment of persons under this agreement because of
the race, color, national origin,ancestry,religion or sex of such person.
Interest of Contractor. It is understood and agreed that this agreement is not a contract of employment in the sense
that the relation of master and servant exists between City and undersigned. At all times Contractor shall be deemed to
be an independent contractor and Contractor is not authorized to bind the City to any contracts or other obligations in
executing this agreement. Contractor certifies that no one who has or will have any financial interest under this
agreement is an officer or employee of City.
Changes. This agreement shall not be assigned or transferred without the written consent of the City. No changes or
variations of any kind are authorized without the written consent of the City.

Gentlemen,
We have reviewed the maps and data which you have provided for
subject project; and we have also walked the site to observe the
field conditions. Rased on this review we are pleased to submit
the following proposal for Engineering Services for the
improvement of this drainage system. The services that we will
provide are the following:
DESIGN PHASE
1 . Analyze the watershed and determine the required flows for
a 10 year design period for each "leg" of the storm drain
system.
2. Determine if capacity of system is limited because of pipe
size or because of "entrance conditions".
3. After determination of the cause of the inadequacy of the
system we shall prepare plans and specifications for the
correction of the problem.
4. Prepare quantity take-offs and estimates.
5. Coordinate the design of the project with utility companies,
sewer districts, city staff and other involved agencies.
6. Prepare legal description if required.
CONSTRUCTION PHASE
7. Provide one set of stakes for the grade and alignment of
storm drains and appurtenant structures.
8. Provide cut sheets or field notes for the City Inspector.

We will provide the services outlined in items 1 through 6
inclusive for a fee of $6,200.00. Items 7 and 8 will be provided
for a fee of $1 ,200.00.. Restaking because of vandalism or
negligence will be performed at our standard rate of $101 per
hour for a 2 man survey party and $54 per hour for a Survey
Supervisor/Engineer.
We look forward to working with you on this project. We can
commence work immediately upon authorization to proceed. We
estimate that we will submit the improvement plans to you for
review in approximately 40 days.
