Contractor agrees to save and hold harmless the City, its officers,agents and employees from any and all damage and liability of every nature, including all costs of defending any claim,caused by or arising out of the per- formance of this agreement.City shall not be liable for acts of Contractor in performing services described herein. Insurance. Should the City require evidence of insurability Contractor shall file with City a Certificate of Insurance before commencing any services under this agreement.Said Certificate shall be subject to the approval of City's Director of Administrative Services. Non-Discrimination. No discrimination shall be made in the employment of persons under this agreement because of the race, color, national origin,ancestry, religion or sex of such person. Interest of Contractor. It is understood and agreed that this agreement is not a contract of employment in the sense that the relation of master and servant exists between City and undersigned.At all times Contractor shall be deemed to be an independent contractor and Contractor is not authorized to bind the City to any contracts or other obligations in executing this agreement.Contractor certifies that no one who has or will have any financial interest under this agreement is an officer or employee of City. Changes. This agreement shall not be assigned or transferred without the written consent of the City.No changes or variations of any kind are authorized without the written consent of the City. This is a unique contract in that it is vital to the public interest that the moving be accomplished between the hours of 5:00 P.M. , Friday, December 18, 1987, and 5:00 P.M. , Sunday, December 20, 1987. All moving shall be completed by 5:00 P.M. , Sunday, December 20, 1987 in order that City Hall facilities may be open to the public on Monday, December 21, 1987, at 8:00 A.M. . It is a condition of payment on the contract that moving be accomplished by 5:00 P.M. on December 20, 1987. If the mover fails to perform the full contract by that time there will be no payment of any funds under this contract, nor will there„be any payment for the reasonable value of the service performed up to that time. Insurance is required as outlined in the specifications. RELOCATION OF CUPERTINO CITY HALL • t PROJECT 88-110 MOVING SPECIFICATIONS I. GENERAL INFORMATION: A. The City of Cupertino is seeking proposals for the packing and relocation of furniture, certain equipment, file cabinets, and miscellaneous boxes from temporary City Hall facilities at 10430 S. DeAnza Boulevard to City Hall at 10300 Torre Avenue, in Cupertino. (See location map, Exhibit "A") B. Bidders are required to meet with Diane McCann at 3:00 P.M. on Tuesday, November 24, 1987 to examine the site of the move. Please meet in the Public Works lobby, Room 230, 10430 S. DeAnza Boulevard. It shall be mutually agreed that submission of a proposal shall be con- sidered prima facie evidence that the bidder has made an examination of the site. C. The estimated inventory of items to be moved is listed on the attached Exhibit "B". D. The mover will be required to provide packing materials, equipment, labor and insurance necessary for the move. E. The move is to be accomplished during non-business hours.. All work is to be performed between 5:00 P.M. , Friday evening; -December 18, ,1987,. and -5:00 P.M. , Sunday afternoon, December 20, 1987. `. - 'F. .All items are to be delivered in place and_=in-acdordance_with -the-corre- sponding numbered floor plans. G. The mover will be required to maintain, during the move, liability and property damage insurance including damage to the building, in the amount of One Million and no/100 Dollars ($1,000,000.00)for each occurence. The mover will also be required to carry Worker's Compensation Insurance as specified in the Labor Code. In addition to the required insurance, the mover will be required to indemnify, defend and hold harmless the City and its officers, agents and employees from any and all liabilities, claims, losses and expenses. This shall include attorney's fees and court costs, in any manner caused by, arising out of, or in connection with, either directly or indirectly, the move performed, or the negligent, willful or of intentional acts or omissions by the mover or his agents during the progress of the move before its completion and final acceptance. H. In consideration of the faithful performance, and withinthirty (30) days • of receipt of an invoice of the work, the City agrees to make payment to mover in full. SPECIFICATIONS PAGE 1 OF 3 MOVING SPECIFICATIONS ' General Information Continued: • I. The building at 10300 Torre Avenue has been completely remodeled and all floor and wall coverings are new. It shall be the sole respon- sibility of the mover to insure that no damage -is done to the new build- ing during the move. If damage occurs the moving company will be held responsible to restore the building to its original condition. II. DUE DATE FOR PROPOSALS: _ All sealed proposals must be submitted to the Public Works Department, tem- porary City Hall, 10430 S. DeAnza Boulevard, by 2:00 P.M. on Tuesday, Dec- ember 1, 1987. III. CRITERIA FOR SELECTING LOW BIDDER: The mover will be selected on the determination of best overall value. The following information shall be submitted with each proposal: 1. State your company's general moving experience and experience in office relocation. Provide a list of the number of personnel and trucks you propose to use in this relocation. 2. Provide a Certificate of Insurance coverage for all items. 3. Submit a list of references - provide name of company, . address and name of project coordinator for your last three (3) project moves. IV. DESCRIPTION OF WORK: - - A. The mover will be required to meet and coordinate all moving activities with Lavenia Millar, Moving Coordinator, Public Works Department, (408) 252-4645. B. Mover shall provide labels for marking all items to be moved two (2) weeks prior to move. C. Mover shall, prior to move, asgist in tagging all furniture. __The mover will assist the Moving Coordinator in developing the plan code that will coordinate moving labels with particular areas on the space allocation plan. D. Mover shall perform packing of items in glass cases in downstairs lobby. All other items shall be packed by employees. E.
