GENERAL TERMS AND CONDITIONS
Hold Harmless. Contractor agrees to save and hold harmless the City, its officers,agents and employees from any and
all damage and liability of every nature, including all costs of defending any claim,caused by or arising out of the per-
formance of this agreement.City shall not be liable for acts of Contractor in performing services described herein.
Insurance. Should the City.require evidence of insurability Contractor shall file with City a Certificate of Insurance
before commencing any services under this agreement.Said Certificate shall be subject to the approval of City's
Director of Administrative Services.
Non-Discrimination. No discrimination shall be made in the employment of persons under this agreement because of
the race, color, national origin,ancestry,religion or sex of such person.
Interest of Contractor. It is understood and agreed that this agreement is not a contract of employment in the sense
that the relation of master and servant exists between City and undersigned.At all times Contractor shall be deemed to
be an independent contractor and Contractor is not authorized to bind the City to any contracts or other obligations in
executing this agreement.Contractor certifies that no.one who has or will have any financial interest under this
agreement is an officer or employee of City.
Changes. This agreement shall not be assigned or transferred without the written consent of the City. No changes or
variations of any kind are authorized without the written consent of the City.

EXHIBIT 'A' (ATTACHMENT TO CONTRACT)
The following list of terms has met the approval of both 535 Engineering
and the City of Cupertino. This contract applies to work performed
exclusively for the Cable TV department. Work performed for other City
of Cupertino departments must be approached as a separate agreement between
those departments and 525 Engineering.
525 Engineering will not proceed with any project (with the possible
exception of a situation in need of immediate attention) without prior
authorization from the Public Information Officer.
The ordering and purchasing of parts and equipment for 525 Engineering .
will be processed through the proper City of Cupertino departments.
525 Engineering will not invoice the City of Cupertino for the cost of
parts or equipment without prior authorization from the Public Information
Officer (through the Video Producer) .
525 Engineering agrees to provide the City of Cupertino with objective and
current information to the best of its ability and guarantees that it does
not represent any particular vendor(s) or manufacturer(s) .
525 Engineering will document all work performed which will be kept on
file.
525 Engineering will provide 24 hour advance notice of any appointment
cancellations.
535 Engineering will provide services for the following general areas:
( 1) PREVENTATIVE MAINTENANCE (� hours per visit at $Y.(OOJn hour)
Includes:
- Provides bi-monthly equipment check-ups & servicing
(2) EQUIPMENT RESEARCH ($40.00 an hour)
Includes:
- Gathers research from vendors
- Gathers research from manufacturers
- Makes- equipment recommendations based on research

- Works or aids U.C. technicians with projects related to Municipal
Channel 53
(4) NEW EQUIPMENT & CONFIGURATION ($40.00 an hour)
Includes:
- Installs new equipment
- Configures equipment for best possible operation
,(5) EMERGENCY SITUATIONS ($55.00 an hour)
Includes:
- Provides on-call sercie in any situation outside or beyond routine
preventative maintenance and other scheduled work requiring
immediate attention within two hours of notification
(6) SPECIAL PROJECTS/PRODUCTIONS ($50.00 an hour)
Includes:
- Engineers special Municipal Channel "53 productions ( i .e. remote
multi-camera productions)
