GENERAL TERMS AND CONDITIONS
Hold Harmless.Contractor agrees to save and hold harmless the City, its officers, agents and employees from any
and all damage and liability of every nature,including all costs of defending any claim,caused by or arising out of the
performance of this Agreement.City shall not be liable for acts of Contractor in performing services described herein.
Insurance. Should the City require evidence of insurability Contractor shall file with City a Certificate of Insurance
before commencing any services under this Agreement. Said Certificate shall be subject to the approval of City's
Director of Administrative Services.
Non-Discrimination.No discrimination shall be made in the employment of persons under this Agreement because
of the race, color, national origin, ancestry, religion or sex of such person.
Interest of Contractor.It is understood and agreed that this Agreement is not a contract of employment in the sense
that the relation of master and servant exists between City and undersigned.At all times Contractor shall be deemed
to be an independent contractor and Contractor is not authorized to bind the City to any contracts or other obligations
in executing this Agreement. Contractor certifies that no one who has or will have any financial interest under this
Agreement is an officer or employee of City.
Changes.This Agreement shall not be assigned or transferred without the written consent of the City. No changes
or variations of any kind are authorized without the written consent of the City.

PROPOSAL TO PREPARE A
BASE-YEAR MODIFICATION REQUEST
TO THE CIWMB
EPC will prepare all of the information necessary for the City to file a Base-Year
Modification Request with the California Integrated Waste Management Board
(CIWMB).
EPC will review existing documents, including the City's SRRE and the franchised
hauler's data on collection and disposal of solid wastes and recyclables within the City. A
list will be compiled of all known diversion activities that may be classified as source
reduction, materials reuse, recycling collection, and composting.
✓ Waste disposed amounts attributed to Cupertino will be evaluated.
✓ City waste diversion practices will be identified in discussions with staff of
appropriate City departments.
✓ A survey of residents, selected at random, will be conducted to estimate levels of
residential waste prevention, recycling and composting. Residential recycling
collection information will be derived primarily from LAGCo. Additional information
on beverage container recycling will be derived from the Department of Conservation.
✓ Information for all types of commercial waste diversion activities will be obtained
through direct contact with recycling service providers. This data will be
supplemented through a direct survey of businesses and institutions throughout the
City.
✓ Local nonprofit organizations, including local libraries and churches that accept large
amounts of donated materials, will be contacted to gather data regarding donated
materials.
✓ All data obtained will be reported in a manner consistent with CIWMB regulations,
to support the City's use of the information to establish a new base-year waste
generation and diversion rate.

Task 1: Survey Existing Disposal
EPC will review the data on the CIWMB Disposal Reporting Forms attributed to
Cupertino [form attached], compare this data to the information prepared by the County
of Santa Clara and the data submitted by LAGCo, and provide details on all adjustments
which should be made to the CIWMB data.
Task 2: Survey Existing Diversion
A Waste Reduction and Recycling Audit will be used to survey residential and
commercial waste generators in the City. Survey methods and instruments will be
reviewed with City staff prior to their use. A database will be created containing the
findings from each surveyed group. The findings will express the annual quantity
diverted by material type. To the extent possible, the material type definitions will be
the same categories, types and subtypes as specified in the CIWMB "Long List of
Materials Types." Commercial sector source reduction practices will be quantified using
methodologies consistent with the U.S. EPA Business Waste Prevention Quantification
Methodologies, Business User's Guide.
Interns (university students) will be used to conduct the surveys. The interns will be
trained before the surveying begins.
Task 2.1: Survey Existing City Diversion
Conduct Survey. EPC will conduct a survey of recycling and source reduction practices
of selected City departments, especially Public Works, Purchasing, and Parks. The
survey will include interviews with appropriate staff.
Estimate Total Diversion. Following the surveying, the data will be analyzed and
estimates will be made of the total waste reduction for each activity.
Task 2.2: Survey Existing Residential Diversion
Conduct Survey. EPC will conduct a survey of recycling and source reduction practices
of residences. Meaningful participation is anticipated from about 60 percent of those
surveyed, so to complete about 200 surveys, approximately 350 randomly selected
residents will be contacted. The survey will include a telephone interview.
For sampling of residential waste diversion activities, an effort will be made to include
various income demographic groups. EPC proposes to select the 350 names at random
from the customer service listings of LAGCo. If this listing is not available, the
Cupertino listings in the local telephone directory will be used. The addresses will be
plotted on a map showing the City census tracts. To insure adequate distribution, if some
census tracts are no't adequately covered, additional addresses will be selected, and some
from the "over covered' tracts will be discarded from the survey list.

Estimate Total Diversion. Following the surveying, the data will be analyzed and
estimates will be made of the total waste reduction for each activity. Based on
information from surveys, EPC will calculate a value, such as tons per year per household
or resident, for each of the source reduction and recycling activities evaluated. These .
factors will be calculated by material type. The total quantities of materials diverted will
be calculated by projecting the survey findings to the total population, or the appropriate ,
subpopulation (grasscycling only at single-family dwellings, but donation from all
households).
Task 2.3: Survey Existing Commercial Diversion
Additional information for all types of diversion activities will be obtained through direct
contact with both and businesses that recycle, and recycling service providers, such as
waste paper brokers. The primary source of data will be the direct survey of businesses
and institutions throughout the City. The survey data will be supplemented through a
survey of recycling service providers. Service providers will be asked to report the
materials received from sources in the City. However, based on our experience with
surveys of recycling service providers, the information is expected to be incomplete.
Conduct Survey. EPC will conduct a survey of recycling and source reduction practices
of the selected business generators, up to a total of 200 businesses. In general, survey
methods will include initial phone contact to identify the best recipient of the survey; a
telephone interview. EPC will use a combination of the LAGCo service list and the City's
Dun &Bradstreet (business license, or other) database of local businesses to identify
those which will be contacted. Meaningful participation is anticipated from about 80
percent, so about 250 businesses will be targeted for surveying.
Two groupings of business will be contacted. First, all of the largest businesses and
institutions in the City will be contacted. Second, additional businesses, from the largest
waste generating SIC Code groupings in the City, will be contacted to comprise the
remainder of the 200 surveys on a prorated basis. According to the CIWMB waste
characterization database (attached), 8 of the 38 business groupings generate almost 90
percent of the commercial waste in the City. The largest groups, in order of waste stream
generated, are: 1) Manufacturing— Industrial Machinery; 2) Services — Other: 3) Retail
Trade —Restaurants; 4) Retail Trade— Other; 5) Finance/Insurance/Real Estate/Legal; 6)
Services — Business Services; 7) Retail Trade — Food Store; and 8) Services— Education.
Estimate Total Diversion. Following the surveying, the data will be analyzed and
• estimates will be made of the total waste reduction (waste prevention and recycling) for
' each business-grouping level. Based on information from surveys, EPC will calculate a
value, such as tons per year per household or resident, for each of the source reduction
and recycling activities evaluated. These factors will be calculated by material type. The
.total quantities of materials diverted will be calculated by projecting the survey findings

to the total population, or the appropriate subpopulation by the type of business and the
number of employees for that business grouping.
Task 3: Identify Additional Diversion Potential
New Diversion Programs. If this project does not identify a current diversion rate of
at least 50%, EPC will conceptually design programs to increase diversion of these
materials and make recommendations for program implementation that would achieve
sufficient additional diversion to reach the State mandate. Using data from the surveys,
EPC will recommend program changes which could divert a higher percentage of
materials. For these programs, EPC will identify materials which have a high market
value or are disposed of in significant quantities as targets for additional diversion.
Task 4: Prepare Reports
Reports: Data will be maintained in conformance with CIWMB regulations, to enable
the City to use the data for any purpose requiring CIWMB approval, for establishment of
a new base year.
Task 4.1: Draft Report: A Draft Report will be provided for City review and comment.
Task 4.2: Final Report: Based on feedback from City, a Final Report will be prepared
incorporating the appropriate changes.
