Treder (2) (Hereinafter referred as CONTRACTOR), in consideration of their mutual covenants, the parties hereto agree as follows: CONTRACTOR shall provide or furnish the following specified services and/or materials: Creek tour docent and program coordinator. (see Exhibit "A" for estimated number of hours) not to exceed $3,200. GENERAL TERMS AND CONDITIONS Hold Harmless.Contractor agrees to save and hold harmless the City, its officers, agents and employees from any and all damage and liability of every nature,including all costs of defending any claim,caused by or arising out of the performance of this Agreement.City shall not be liable for acts of Contractor in performing services described herein. Insurance. Should the City require evidence of insurability Contractor shall file with City a Certificate of Insurance before commencing any services under this Agreement. Said Certificate shall be subject to the approval of City's Director of Administrative Services. Non-Discrimination.No discrimination shall be made in the employment of persons under this Agreement because . of the race, color, national origin, ancestry, religion or sex of such person. Interest of Contractor.It understood and agreed that this Agreement is not a contract of employment in the sense that the relation of master and servant exists between City and undersigned.At all times Contractor shall be deemed to be an independent contractor and Contractor is not authorized to bind the City to any contracts or other obligations in executing this Agreement. Contractor certifies that no one who has or will have any financial interest under this Agreement is an officer or employee of City. Changes.This Agreement shall not be assigned or transferred without the written consent of the City. No changes or variations of any kind are authorized without the written consent of the City. The teachers are trained to do 1- 2 weeks of in-class study in their classrooms, culminating with a creek-walk field trip at Stevens Creek in Cupertino--either in the fall of the spring. Field trips are lead by a naturalist docent. Responsibilities: As Tour Docent:You would lead a group composed of about 20 to 35 3`d-graders,their teacher, 5 parent aides and an Audubon Society intern. Each two-hour tour will follow a creekside trail and end up at a beach study area in the creek. You wou8ld be expected to be able to point out and briefly discuss about 10 common trees and plants and about 10 creek insects or other aquatic life. And, as the leader of the group, you would be expected to be able to make safety decisions for the group and resolve emergencies. As Program Coordinator: You would provide general maintenance for the program: e.g. restock/reorder/copy program literature; set up teacher training workshop; keep records(money spent, list of teachers trained); deliver materials to site, as needed; coordinate with Program naturalist, Audubon Society and School District staff to troubleshoot problems as they come up. Hours and Location: Creek tour docent: 9:00 a.m. — 12:30; every Tuesday and Thursday Fall tours: mid Sept.through mid-Nov. (approximately 14 tour dates) Spring tours: late April through early June(approximately 16 tour dates) Stevens Creek in McClellan Ranch Park 22211 McClellan Road in Cupertino Teacher aining sessions: f� dates*Sept.
