BY THIS AGREE Eid made and entered into on the 12th day of October 19 99 by and between the CITY OF CUPERTINO (Hereinafter referred to as CITY) and Name (1) United Soil Engineering, Inc. (2) (Hereinafter referred as CONTRACTOR), in consideration of their mutual covenants, the parties hereto agree as follows: CONTRACTOR shall provide or furnish the following specified services and/or materials: Geotechnical Investigation for Memorial Park Restroom Facilities EXHIBITS:The following attached exhibits hereby are made part of this Agreement: Proposal "Exhibit A" TERMS:The services and/or materials furnished under this Agreement shall commence on October 12, 1999 and shall be completed before COMPENSATION: For the full performance of this Agreement, CITY shall pay CONTRACTOR: Not to exceed $2,500.00 GENERAL TERMS AND CONDITIONS Hold Harmless.Contractor agrees to save and hold harmless the City, its officers, agents and employees from any and all damage and liability of every nature,including all costs of defending any claim,caused by or arising out of the performance of this Agreement.City shall not be liable for acts of Contractor in performing services described herein. Insurance. Should the City require evidence of insurability Contractor shall file with City a Certificate of Insurance before commencing any services under this Agreement. Said Certificate shall be subject to the approval of City's Director of Administrative Services. Non-Discrimination.No discrimination shall be made in the employment of persons under this Agreement because of the race, color, national origin, ancestry, religion or sex of such person. Interest of Contractor.It is understood and agreed that this Agreement is not a contract of employment in the sense that the relation of master and servant exists between City and undersigned.At all times Contractor shall be deemed to be an independent contractor and Contractor is not authorized to bind the City to any contracts or other obligations in executing this Agreement. Contractor certifies that no one who has or will have any financial interest under this Agreement is an officer or employee of City. Changes.This Agreement shall not be assigned or transferred without the written consent of the City. No changes or variations of any kind are authorized without the written consent of the City. Attention: Ms. Carmen Lynaugh, Public Works Project Manager Subject: Proposed Memorial Park Restrooms Stevens Creek Boulevard Cupertino, California PROPOSAL TO PERFORM A GEOTECHNICAL INVESTIGATION AND PAVEMENT DESIGN ' Dear Ms. Lynaugh: We are pleased to present herein. our proposal to perform a geotechnical investigation and pavement design for the proposed memorial park restrooms. The subject site is located on Stevens Creek Boulevard in Cupertino, California. • Representatives from United Soil Engineering, Inc. have visited the subject site and vicinity for preliminary observations. We have performed various geotechnical investigations on the vicinity of the subject site. Based on past experience, we anticipate cost of the above mentioned investigation to be $2,500.00 and will include the following: • A. SOIL INVESTIGATION 1 . Drilling of one exploratory boring to depths ranging from 3 to 35 feet below existing ground surface. 2. Sampling surface and subsurface soil (at 3 feet, 5 feet, and at 5 foot intervals thereafter) for laboratory analysis. Determining groundwater level if it is within the depth of our borings. 4. Sampling near-surface soil for laboratory analyses (Atterberg Limits Tests, Compaction Test, and R-Value Test). B. LABORATORY INVESTIGATION 1 . Determining moisture and density of relatively undisturbed soil samples. If any soils are too dense or gravelly to retrieve, the Standard Penetration Test will be substituted. 2. Determining strength of relatively undisturbed soil samples, direct shear testing and/or unconfined compression test. 3. Performing Atterberg Limits Tests on the near-surface soil • samples. 4. Performing compaction tests utilizing the ASTM D1557-91 procedure. S. Performing R-Value Tests on the near-surface soil sample for pavement design, 6. Performing gradation/sieve analysis on potentially liquefiable samples, if encountered. • 7. Performing consolidation tests on soft clayey strata, if encountered. The results of our investigation will be presented to you in a formal report which will include the following: C. FINAL REPORT 1 . Review existing data' pertaining to the subject site and vicinity. 2. Recommendations for proper type of foundation and allowable bearing values at various depths including minimum foundation depth. 5. Recommended design for active and passive pressure for soil retaining structures. 6. Overall recommendations for site preparation and foundation structures, including, the import fill material specifications, and soil compaction requirements. 7. Recommendations for concrete slab-on-grade including the moisture barrier and base rock/drain rock specifications, if required. 8. Recommendations for proper drainage. 9. Anticipated total and differential settlement for the proposed structures, if required. 10. Treatment of expansive soils, if encountered. 11 . Grading specifications •including the backfill and compaction of utility trenches and water well/monitoring well capping. 1 2. Shallow excavation recommendations. 13. Liquefaction potential. 14. Graphic presentationof boring logs, including soil • classification, depth towater table, and location of the borings on site plan. 1 5. Laboratory test data. 16.
