80-006 Mohle, Perry & Associates Traffic Engineering Consulting Services Reso 5243AGREEMENT FOR TRAFFIC ENGINEERING CONSULTING SERVICES CITY OF CUPERTINO STEVENS CREEK BOULEVARD TRAFFIC SIGNAL TIMING SERVICES AND TRAFFIC ENGINEERI JG 0NAGEMENT SYSTEM THIS AGREEMENT, entered into this 3rd day of March 1920, by and between the CITY OF CUPERTINO, hereinafter called "CITY," and MOHLE, PERRY & ASSOCIATES, a California corporation, hereinafter called the "CONSULTANT.'' WITNESSETH: WHEREAS, the City desires traffic signal system timing services for the Stevens Creek Boulevard signal system extending from Bubb Road to Tantou Avenue; and the installation of a traffic engineering management System hereinafter referred to as "TIMING SERVICES" and "MAiIAGEMENT SYSTEM" raspect-i vely; and WHEREAS, such Timing Services and Management System require special- ized expertise in traffic signal interconnect operations and tinning and computer hardware and software; and WHEREAS, the City desires the provision of the Timing Services and Management System; and WHEREAS, the Consultant is qualified, exparienced and has facilities to provide the required Timing SErvices and r:anai7unent System; Q, THEREFORE, City and Ccnsultant agree as follows: I. EMPLOYhiENT OF CONSULTANT The City hereby agrees to engage the Consultant to perform the technical and professional services and Management System can ponents as hereinafter set forth. II. SCOPE OF SERVICES AND PRODUCTS A. The Consultant will provide those services and products described in Exhibit "A" attached. 1 U B. Tile Consultant will furnish the Timing Services report no later than forty-five (45) calendar days from the date of execution of this agree- ment by the City and the Consultant. The Management System will be furnished no later than ninety (90) calendar days and the optional computer programs will be delivered no later than one hundred fifty (150) calendar days from the date of execution of this agreement by the City and the Consultant. C. The Consultant will review the records of the City's Traffic Engineer to determine the extent of available information. that is applicable to the Timing Services. The City will provide all necessary additional information required. III. SERVICES PROVIDED BY THE CITY In cooperation with the Consultant, tine City will obtain or othert•;ise provide if requested: A. Planning data, policy guidance and technical staff coordination and review as required for timely completion of the project. B. Turning movement counts as required; speed da Ga; pedestrian, yellow interval and all -red timing Intervals as required. C. Other planning data, surveys, reports or docunr;nts in City files applicable to the conduct of the project. D. Computer room and suitable printer and video display unit 1:1ith keyboard. IV. COMPENSATION It is agreed that the total cost to City including sales tax will be Twenty-three Thousand Two Hundred Thirty-five Dollars ($23,235), end Con- sultant agrees to perform the services within such cost for the Timing Services and i ianagcr,ont Syst( Em. Fach optional computer program shall be del i vered and tossed by Consultant for an a_(!di-;JOnal suiii of Tt-;o Thousand Fire Hundred Dollars (`2,500) or Five Thous",n d Dollars (";5,000) for both programs. If the optional video display unit with keyboard is supplied by Consultant, payment including sales tax will be an additional Nine Hundred Thirty-t�„o and 80/100 Dollars (;932.80). V. PROGRESS PAYMENTS City shall pay Consultant for Timing Services monthly based upon the proportion of work completed as approved by the Traffic Engineer. City shall pay Consultant $12,000 when the i•ianagement System hard�,rare 6 is delivered to the City. Remainder shall be paid upon ccxipletion of training program and acceptance of system by City. VI. CHANGES IN SCOPE OF PROJECT If conditions necessitate a change in the scope of ti,rork, such change shall be cause for renegotiation of the contract for that portion of the project. VII. RESPONSIBILITY OF CONSULTANT The Consultant is retained as a professional consultant to the City and agrees to utilize his professional skill and best efforts in the performance of the specified services. VIII. DELAYS In the event Consultant is delayed in the timely prosecution of technical studies hereunder by City, its staff or employees, by other agencies, or is delayed by an act of God, or through no fault on the part of the Consultant, Consultant shall present to City a written request for an extension of time for the performance of the project. Approval of such extension of time by City shall not be unreasonably withheld and such addi- tional time as City approves shall be added to the tiire for cnifpletion. IX. CONSULTANT AS INIDEPENHF_NT MI-ITRACTOR It is expressly agreed that in the performance of the services necessary for the performance of this agreement, the Consultant shall be, and is, an independent contractor. The Consultant has and shall retain the right to exercise full control and supervision of the services and mull control over the employment, direction, compensation and discharge of all persons assisting him in the performance of his services hereunder. X. NON-ASSIGINIMIENT OF AGREEMENT This agreement shall not be assigned, sublet or transferred by the Consultant in v;hole, or in part, without the written consent of •:ae City. XI. OWNERSHIP OF DOCUi TENTS The City shall become owner of all data, reports and drawings, plans or other material collected pursuant.to this agreement. 3 XII. SOFTWARE LICENSE AGREEMENT The City agrees to have a responsible official sign in behalf of City a mutually acceptable software license agreement to protect Consultant's programs from unauthorized use. XIII. INTEREST OF PUBLIC OFFICIALS No member, officer or employee of City or of a local public body during his tenure or for one year thereafter shall have an interest, direct or indirect, in this agreement or the proceeds thereof. CITY OF CUPERTINO A municipal corporation of the State of California By (.� 1;ayor tl City(Ark MOHLE, PERRY & ASSOCIATES a California corporation 0 EXHIBIT "A" SERVICES AND SYSTEMS TO BE FURNISHED TIMING SERVICES Study Purpose The intent of the signal timing services is to provide the specific cycle length, offsets and splits for three (3) time periods for the four zones of the Stevens Creek Boulevard traffic control system. Zone Definitions The intersections to be inc luded in each zone are as follois: Zone 1 - Bubb Road Freeway 85 Off -ramp Mary Avenue Stelling Road Zone 2 - Bandley Drive De Anza Boulevard Zone 3 - Blaney Avenue Portal Avenue Zone 4 - Perimeter lRoad teal fe Road _ Finch Avenue Tantau Avenue Timing Plan Definitions Based on traffic count data to be furnished by the City, the Consultant shall, using 'Che CAPSSI and PASSER II computer programs, prepare signal timing plans for each zone for each of the following traffic volume conditions: o A.M. peak hour traffic volumes o Average traffic volur` conditions o P.M. peak hour traffic volumes Output data for each zone and for each time period shall be formatted as follows: Intersection City Nu;jber Phase Split Percentages - 1,2,3,4,5,6,7,8 System Offset The intent of the format is to enable the City to easily input the timing plans into the Multisonics 220 system. • Coordination tJi th Cit In the development of the timing plans the Consultant shall coordinate with the City's Traffic Engineer to ensure that adequate input reflecting the desires of the City concerning adopted cycle lengths, pedestrian timing requirements, etc., has been utilized in the development of the timing plans. h"LANAGEMENT SYSTEM The Consultant shall provide a Management System which shall consist of the Consultant's ATEMS 35tm system. This system shall consist of hardware and software components as follows: Hardware Computer - The computer shall consist of the following components: o Intel ISBC 80/30 -single board computer with 8035 CPU with 16k bytes of dual port dynamic read/write memory. o Intel ISBC 048 Ram memory board with 43k bytes of read/write memory. o Intel ISBC 204 Universal flexible diskette controller. o Intel ISBC 655 system chassis. (=1 oppy,Di sk '_a_n,_,System - The floppy disk memory system shall consist of the following: o Single density IBM 3740 format dual 8" drives by Shugart Associates as packaged as a system by Data Systems Cosign, Inc. model DSD -110. Each diskette shall store up to 256,256 bytes of data. Printer - The printer for the system shall be the Qume Serial RS232C Sprint 5 printer as will be provided by the City and which will be shared by the AT 35 system with the Miultisonics VMS 220 traffic control system. Video Display Unit with Kaybo keyboard shall be supplied by that joint use of the VMS 220 the ATEMS 35 system depending Multisonics. Chair - The Consultant shall furnish a suitable operator's chair adequate for both VMS 220 and ATEMS 85 systems. Cables - The Consultant shall furnish all necessary connecting cables for the operation of the ATEMS 85 system. Software The Consultant shall furnish under licensing agreement for the sole use of the City the following compiled programs: o MPA CAPSSI - Comprehensive Analysis Program for Single Signalized Intersections o MPA PASSER II o TRANSYT 7 a Speed Zone Data Reduction Program If desired by the City, the Consultant shall also furnish as an option, as determined by the City, programs for Traffic Accident Records Management and/or Traffic Control Device Inventory. System Set-up and Delivery The Consultant shall set-up the ATEMS 85 equipment and test run the programs. The Consultant shall prgvide a two (2) day training course at the City Hall for person(s) selected by the Traific Engineer. All pertinent aspects of ATEMS 85 system operation shall be included in the :raining program. Manuals Consultant shall furnish operational manuals for both the hardware and soft- ware elements of the ATEMS 85 sys Lem. Warranty Consultant shall warrant for both parts and labor the satisfactory working of the ATEMS 85 system for a 90 day period following acceptance by the City. RESOLUTION NO. 5243 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CUPERTINO AUTHORIZING EXECUTION OF AGREEMENT BETWEEN THE CITY OF CUPERTINO AND MOHLE, PERRY & ASSOCIATES FOR TRAFFIC EN- GINEERING CONSULTING SERVICES, STEVENS CREEK BOULEVARD WHEREAS, the City desires traffic signal timing services for the Stevens Creek Boulevard signal system extending from Bubb Road to Tantau Avenue; and the installation of a traffic engineering management system; and WHEREAS, the firm of MOHLE, PERRY & ASSOCIATES is qualified and willing to provide the necessary services; and WHEREAS, an agreement between the City of Cupertino and Mohle, Perry & Associates, outlining the terms and conditions of the required services, has been presented to the City Council; and said agreement having been approved by the Director of Public Works and the City Attorney; NOW, THEREFORE, BE IT RESOLVED, that the Mayor and the City Clerk are hereby authorized to execute the agreement herein referred to in behalf of the City of Cupertino.
