This AGREEMENT made and entered into this 1st day of
Auyast, 1976, by and between the CITY OF CUPERTINO, a mu-
nicipal corporation of the State of California, hereinafter
designated as CITY, and VALLCO CENTER, INC., a California
corporation, hereinafter designated as DEVELOPER.
WHEREAS, CITY and VALLCO PARK, LTD., predecessor in
interest of DEVELOPER entered into an AGREE1 EIlT on August
13, 1975 and recorded. o.; Septerr.ber 2, 1975, in the Official
Records of the County of Santa Clara, State of California,
in Book B 594 page 380 (the "Agreement"); and
WhLREAS, the parties now wish to modify said Agreement;
1101, THERi'FORF., it is mutually ayreed by and between
the parties as follows:
CITY liereby quitclaims and releases to DEVELOPER, all
its right, title, anu interest, under the Agreement nerei.n-
above referred to insofar as said Agreement relates to the
reai property described in Exhibits A and B attached nereto
and by this reference made a part hereof.
Id WIT14ESS WHLREOF, said CITY has caused its name to
be hereunto affixed by its Mayor and City Clerk, thereunto
duly authorized by the City Council and said DEVELOPER has
hereunto caused its name to be affixed the day and year first
