21-222 Amendment #1 dated 7-6-22 BMI Agreement for Scanning Services1 FIRST AMENDMENT TO AGREEMENT 352 BETWEEN THE CITY OF CUPERTINO AND BMI IMAGING SYSTEMS FOR SCANNING SERVICES This First Amendment to Agreement 352 between the City of Cupertino and BMI Imaging Systems is by and between the City of Cupertino, a municipal corporation (hereinafter "City") and BMI Imaging Systems, Inc. (“Contractor”) whose address is 1115 E. Arques Ave., Sunnyvale, CA 94086-3941, and is made with reference to the following: RECITALS: A. On October 04, 2021, Agreement 352 (“Agreement”) was entered into by and between City and Contractor for HR Inactive/Active File Scanning Services. B. City and Contractor desire to modify the Agreement on the terms and conditions set forth herein. NOW, THEREFORE, it is mutually agreed by and between and undersigned parties as follows: 1. SERVICES. Paragraph 2 of the Agreement is modified to read as follows: Contractor agrees to provide the services and perform the tasks (“Services”) set forth in detail in Scope of Services, attached here and incorporated as Exhibit A1. Contractor further agrees to carry out its work in compliance with any applicable local, State, or Federal order regarding COVID-19. 2. TIME OF PERFORMANCE. Paragraph 3 of the Agreement is modified to read as follows: 3.1 Term. This Agreement begins on the Effective Date and ends on December 31, 2024 (“Contract Time”), unless terminated earlier as provided herein. Contractor’s Services shall begin on the effective date and shall be completed by December 31, 2024. The City’s appropriate department head or the City Manager may extend the Contract Time through a written amendment to this Agreement, provided such extension does not include additional contract funds. Extensions requiring additional contract funds are subject to the City’s purchasing policy. 3.2 Schedule of Performance. Contractor must deliver the Services in accordance with the Schedule of Performance attached and incorporated herein as Exhibit B-1. 3.3 Time is of the essence for the performance of all the Services. Contractor must have sufficient time, resources, and qualified staff to deliver the Services on time. 2 3. COMPENSATION. Paragraph 4 of the Agreement is modified to read as follows: 4.1 Maximum Compensation. City will pay Contractor for satisfactory performance of the Services an amount that will based on actual costs but that will be capped so as not to exceed $50,000 (“Contract Price”), based upon the scope of services in Exhibit A & A1 and the budget and rates included in Exhibit C & C1, Compensation attached and incorporated here. The maximum compensation includes all expenses and reimbursements and will remain in place even if Contractor’s actual costs exceed the capped amount. No extra work or payment is permitted without prior written approval of City. 4.2 Invoices and Payments. Monthly invoices must state a description of the deliverable completed and the amount due for the preceding month. Within thirty (30) days of completion of Services, Contractor must submit a requisition for final and complete payment of costs and pending claims for City approval. Failure to timely submit a complete and accurate payment requisition relieves City of any further payment or other obligations under the Agreement. 4. Except as expressly modified herein, all other terms and covenants set forth in the Agreement shall remain the same and shall be in full force and effect. In the early ‘60s, we expanded our archiving services to include the preservation microfilming of the rare books and manuscripts of some of California’s leading universities. A Library Microfilms Division was also established, working with over 200 newspapers in preserving California local history for libraries and publishers. A reputation for service, precision, and reliability led to steady expansion of our government, education and commercial clients over the next two decades. By the early 1990’s, the records management industry had entered the digital age and BMI was at the forefront of this evolution. Clients were meeting their electronic document management needs by digitizing their microfilm and paper records with BMI installing on- premise document management software solutions. Like many of the companies that started in Silicon Valley in the early ‘50s, BMI’s growth was fueled by the spirit of innovation and partnering with customers who were looking for better ways to preserve and secure their data. In addition to providing document/microfilm conversion and data capture services of the highest standard, BMI is both an application service provider, enabling secure access to client data via the Web, and a systems integrator, implementing turnkey document capture, management and workflow solutions. BMI employs an in-house development staff, a project management customer support staff, along with IT professionals that support our internal and Web hosting operations. Our Security and Facilities BMI, routinely processes, stores and hosts confidential/secure documents and data for health care, court, and law enforcement entities. As a result, our employees, facilities, data processing systems and data management procedures have been HIPAA, NIST SP 800-53 and CJIS- compliant for a number of years. In 2020, BMI received a SOC 2 (System and Organizational Controls) Type II certification for its image conversion and hosting operations. A SOC 2 Type II audit is an independent third-party evaluation of the system controls designed, implemented, and operated to provide reasonable assurance that service commitments and system requirements are achieved based on the trust services criteria relevant to security, availability, and confidentiality. Arques Avenue, Sunnyvale, CA ● 800.359.3456 ● www.BMIimaging.com BMI maintains two comprehensive 16,000 square-foot production facilities located in Sunnyvale (our headquarters and one of two data centers) and Sacramento, California. Both of these free- standing, single-tenant facilities are protected by heat-activated sprinkler systems and electronic security systems (Sonitrol) that are monitored 24/7. All external doors are secured with programmed key code locks that record the date, time and user of each entrance event. Video (CCTV) surveillance cameras capture all entrances, inside production and server areas and each building’s exterior. There are no wireless networks at either facility and all BMI servers are located within locked server rooms, which are redundantly secured with cipher locks. Cell phone use is prohibited within the production areas. All BMI employees are trained in security awareness. Training is provided to all new employees at hire or within a reasonable time after joining BMI’s workforce. Employees are not allowed access to level 2 data until they have received security awareness training, which is documented as part of their personnel file. Training is focused on these key areas: • Defining PII and PHI • Overview of HIPAA / HITECH Privacy provisions • Minimum necessary disclosure requirements • Penalties for misuse of PII and PHI • Overview of best practices for workstation use; virus protection; password integrity and facility security. Additional BMI security-related measures include: • A corporate security officer and team • All guests are escorted at all times while they are in the facility • Regular security audits • Personal items, including mobile phones are not permitted within production areas BMI’s internal Security Manual, which will be made available to the Department upon request, provides additional details regarding its requirements related to the digitizing of any confidential materials. NTT Global, a BMI colocation data center in Sacramento, California, maintains both BMI production backups and synchronized/replicated sets of customer-hosted data. The data sets hosted at the NTT Global and BMI Sunnyvale data centers are both active; user requests are serviced using a “load-balancing” methodology between the sites for performance. Arques Avenue, Sunnyvale, CA ● 800.359.3456 ● www.BMIimaging.com Schedule of Work BMI Imaging will implement a proven, volume-oriented microform digitization/conversion methodology that will ensure the City of Cupertino’s Public Works Department (hereinafter “Department”) receives data deliverables that meet its stated requirements. Under its best practice-based approach to the project, BMI Imaging will: • Maintain the integrity and security of the microform collection, comprised of both microfiche jackets and aperture cards, while it is under its custody, care and control; • Implement a tuned scanning process that best accommodates the format and quality/characteristics of the two (2) microform formats/types; • Capture metadata from the images generated for each microfiche and aperture card to facilitate the Laserfiche document foldering, naming and indexing purposes; • Ensure the Department receives Laserfiche-compliant data deliverables of acceptable quality/ completeness in accordance with mutually agreed upon delivery schedules. The high-level document processing tasks are as follows: 1) Pre-production Tasks 2) Microform Shipment Pick-up 3) Shipment Receipt / Reconciliation & Storage 4) Microform Digitization 5) Microform Image Indexing 6) Data Formatting 7) Data Delivery 8) Microform Delivery Each of the processing tasks is described briefly below: 1) Pre-Production Tasks During this initial phase of the project, the criteria for the subsequent production effort will be established and agreed upon, and procedures will be implemented to ensure compliance with the Department's processing and data delivery requirements. BMI will work closely with the Department's designated project manager to complete the following pre-production tasks: a) Examine representative sample microfiche and aperture cards to determine the configuration settings and process workflow components that will be used during the conversion processes; b) Define the pick-up/delivery schedule. BMI will work with the Department to implement a schedule that will allow the microfiche collection to be accurately and efficiently processed within a mutually agreed upon turn-around time and without significant disruption to Department staff’s daily work processes; c) Complete a “Milestone 1” (Proof of Concept) processing phase, during which a small portion of microfiche and aperture cards will be fully-processed and delivered for the Department’s review/approval prior to moving to full-production status on the project. Arques Avenue, Sunnyvale, CA ● 800.359.3456 ● www.BMIimaging.com 2) Microform Shipment Pick-up BMI provides a high level of care for client records and takes responsibility for maintaining the condition of the materials while they are under its custody, care and control. BMI will utilize its own vehicles and staff to transport the Department-boxed microfiche and aperture card collections from City Hall, located at 10300 Torre Avenue in Cupertino, directly to its secure Sunnyvale processing facility. 3) Shipment Receipt/Reconciliation, Tracking and Storage Upon arriving at BMI’s production facility, the received boxes will be reconciled with the shipping documentation and logged into Unity, a BMI-developed production processing, control and reporting platform that utilizes barcode technology to closely track each unit through the required production process flows. The Unity platform provides chain-of- custody information, accounting for where each box of microfiche is located and who has control over it at any given time during the conversion process. While the boxed microform collections are on-premises within BMI’s facility, they will be stored with BMI’s secured, temperature-controlled vault while not in process. 4) Microform Digitization BMI will utilize Mekel and Wicks and Wilson scanners and Mekel's Quantum scanning software for the simultaneous 300 DPI bitonal (black and white) and grayscale scanning of the microfiche-based records. The Quantum software controls the operation of the scanner and provides extensive image enhancement and verification capabilities to support the production and quality review/control processes. Following the digitization process, the microfiche will be placed back within their associated box in the same sequence in which they were submitted; they will not be placed back within any associated envelopes/bundles. 5) Microform Image Indexing The images generated by the digitization processes will be indexed by the File Number presented on the top, left-hand side of each microfiche and aperture card. Multiple microfiche or aperture cards that present the same File Number will be merged into a single digital document. 6) Data Formatting The image files (bitonal or grayscale TBD based upon image quality) and their associated index values will be formatted for import into the Department's Laserfiche system using the software’s “List File” import specification. During the import process, the documents will be named by File Number and saved to the following Laserfiche location: CityofCupertino\Department Records\Public Works\BMI Imaging 7) Data Delivery The Laserfiche data deliverables will be delivered to the Department via a download from BMI’s Secure FTP server environment by the Department’s IT staff. Please note that, currently, this Internet-based method of data delivery (with no tangible media such as DVDs or a USB drive) renders the microform conversion project fees non-taxable. D-Insurance Requirements for Design Professionals & Consultant Contracts 1 Form Updated Jan. 2022 Consultant shall procure prior to commencement of Services and maintain for the duration of the contract, at its own cost and expense, the following insurance policies and coverage with companies doing business in California and acceptable to City. INSURANCE POLICIES AND MINIMUMS REQUIRED 1. Commercial General Liability (CGL) for bodily injury, property damage, personal injury liability for premises operations, products and completed operations, contractual liability, and personal and advertising injury with limits no less than $2,000,000 per occurrence (ISO Form CG 00 01). If a general aggregate limit applies, either the general aggregate limit shall apply separately to this project/location (ISO Form CG 25 03 or 25 04) or it shall be twice the required occurrence limit. a. It shall be a requirement that any available insurance proceeds broader than or in excess of the specified minimum insurance coverage requirements and/or limits shall be made available to the Additional Insured and shall be (i) the minimum coverage/limits specified in this agreement; or (ii) the broader coverage and maximum limits of coverage of any insurance policy, whichever is greater. b. Additional Insured coverage under Consultant's policy shall be "primary and non-contributory," will not seek contribution from City’s insurance/self-insurance, and shall be at least as broad as ISO Form CG 20 10 (04/13). c. The limits of insurance required may be satisfied by a combination of primary and umbrella or excess insurance, provided each policy complies with the requirements set forth in this Contract. Any umbrella or excess insurance shall contain or be endorsed to contain a provision that such coverage shall also apply on a primary basis for the benefit of City before the City’s own insurance or self- insurance shall be called upon to protect City as a named insured. 2. Automobile Liability: ISO CA 00 01 covering any auto (including owned, hired, and non-owned autos) with limits no less than $1,000,000 per accident for bodily injury and property damage. 3. Workers’ Compensation: As required by the State of California, with Statutory Limits and Employer’s Liability Insurance of no less than $1,000,000 per occurrence for bodily injury or disease.  Not required. Consultant has provided written verification of no employees. 4. Professional Liability for professional acts, errors and omissions, as appropriate to Consultant’s profession, with limits no less than $2,000,000 per occurrence or claim, $2,000,000 aggregate. If written on a claims made form: a. The Retroactive Date must be shown and must be before the Effective Date of the Contract. b. Insurance must be maintained for at least five (5) years after completion of the Services. c. If coverage is canceled or non-renewed, and not replaced with another claims-made policy form with a Retroactive Date prior to the Contract Effective Date, the Consultant must purchase “extended reporting” coverage for a minimum of five (5) years after completion of the Services. D-Insurance Requirements for Design Professionals & Consultant Contracts 2 Form Updated Jan. 2022 OTHER INSURANCE PROVISIONS The aforementioned insurance shall be endorsed and have all the following conditions and provisions: Additional Insured Status The City of Cupertino, its City Council, officers, officials, employees, agents, servants and volunteers (“Additional Insureds”) are to be covered as additional insureds on Consultant’s CGL and automobile liability policies. General Liability coverage can be provided in the form of an endorsement to Consultant’s insurance (at least as broad as ISO Form CG 20 10 (11/ 85) or both CG 20 10 and CG 20 37 forms, if later editions are used). Primary Coverage Coverage afforded to City/Additional Insureds shall be primary insurance. Any insurance or self-insurance maintained by City, its officers, officials, employees, or volunteers shall be excess of Consultant’s insurance and shall not contribute to it. Notice of Cancellation Each insurance policy shall state that coverage shall not be canceled or allowed to expire, except with written notice to City 30 days in advance or 10 days in advance if due to non-payment of premiums. Waiver of Subrogation Consultant waives any right to subrogation against City/Additional Insureds for recovery of damages to the extent said losses are covered by the insurance policies required herein. Specifically, the Workers’ Compensation policy shall be endorsed with a waiver of subrogation in favor of City for all work performed by Consultant, its employees, agents and subconsultants. This provision applies regardless of whether or not the City has received a waiver of subrogation endorsement from the insurer. Deductibles and Self-Insured Retentions Any deductible or self-insured retention must be declared to and approved by the City. At City’s option, either: the insurer must reduce or eliminate the deductible or self-insured retentions as respects the City/Additional Insureds; or Consultant must show proof of ability to pay losses and costs related investigations, claim administration and defense expenses. The policy shall provide, or be endorsed to provide, that the self-insured retention may be satisfied by either the insured or the City. Acceptability of Insurers Insurers must be licensed to do business in California with an A.M. Best Rating of A-VII, or better. Verification of Coverage Consultant must furnish acceptable insurance certificates and mandatory endorsements (or copies of the policies effecting the coverage required by this Contract), and a copy of the Declarations and Endorsement Page of the CGL policy listing all policy endorsements prior to commencement of the Contract. City retains the right to demand verification of compliance at any time during the Contract term. Subconsultants Consultant shall require and verify that all subconsultants maintain insurance that meet the requirements of this Contract, including naming the City as an additional insured on subconsultant’s insurance policies. Higher Insurance Limits If Consultant maintains broader coverage and/or higher limits than the minimums shown above, City shall be entitled to coverage for the higher insurance limits maintained by Consultant. Adequacy of Coverage City reserves the right to modify these insurance requirements/coverage based on the nature of the risk, prior experience, insurer or other special circumstances, with not less than ninety (90) days prior written notice.
